Hannuri successfully represented Align Partners Capital Management in the appointment of two outside directors at the JB Financial Group's AGM

Hannuri Law LLC successfully provided advisory services for Align Partners Capital Management(“APCM”) shareholder activism campaign in JB Financial Group(“JBFG”), leading to the appointment of two proposed outside directors at the 2024 AGM.


Hannuri has been providing legal service for APCM on activism campaigns against domestic financial holding companies. This case is part of a capital allocation policy and governance structure improvement campaign for JBFG. Representing APCM, the second-largest shareholder of JBFG, Hannuri facilitated the strategic planning, shareholder proposal, disclosure, proxy fight and other comprehensive AGM advisory services including on-the-day response.


The appointment of outside directors by APCM marks the first time in Republic of Korea that a shareholder-proposed candidate has been appointed in a financial holding company. This case successfully resolved various unventured issues in AGM practice, including the unified cumulative voting of different types of directors and assisting foreign shareholders in fully exercising their voting rights.
